1.0 Condition of Sale
General
1.1) The contents of this quotation or any part of it are private and confidential and are intended solely for the named addressee. This quotation contains privileged and confidential information. This quotation has been issued in good faith by Prime Systems Pty Ltd ABN 93 617 300 357.
1.2) Any special Terms and Conditions take precedent over the Prime Systems General Terms and Conditions only if in written approval has been provided.
1.3) The quoted prices are based on the supply of the listed hardware, software, and services only.
1.4) Any Prime Systems Standard Supplied Equipment or equipment from specialist manufacturers is offered without modification.
1.5) Receipt of your official order / email confirmation is deemed to be acceptance of these Terms and Conditions.
2.0 Pricing
2.1) Prices are exclusive of GST.
2.2) All prices are based on ex-works Prime Systems office, Parkinson, Brisbane, Australia.
2.3) Pricing is in AUD.
3.0 Payment
3.1) Account Customers - Within fourteen (14) days of invoice date, unless special arrangement has been made in writing for extended payment terms.
3.2) Non-Account Customers - Payment terms are strictly 7 days. Payment of invoice may be Electronic Funds Transfer (EFT), Cash or as otherwise agreed in writing.
3.3) For services/contract works, an invoice will be issued at completion of the services/contract works, or at agreed periods during service delivery.
3.4) Retentions are specifically not admitted. Where retentions are agreed to, in writing, a bank guarantee will be provided.
3.5) Failure to settle an account as agreed may result in goods/service placed on hold until such time as the account is settled.
3.6) Continued failure to pay by due date may result in the withdrawal of these credit terms.
3.7) Title of the invoiced goods does not pass to the buyer until all monies owing on the invoice have been paid in full.
3.8) This offer is made under the Building & Construction Industry Payments Act 2004 (Qld). Right to recovery with costs is reserved.
4.0 Delivery
4.1) Will be confirmed upon official order form.
5.0 Validity
5.1) Prices are firm for acceptance and order within 30 days; thereafter subject to confirmation.
5.2) On acceptance, prices are firm for the estimated construction / installation period.
5.3) Variations in exchange rates, custom duties and base metal prices at time of delivery shall be to the buyers account.
6.0 Warranty
6.1) Warranty on standard manufacturers terms covers the replacement or repair, at our sole discretion, of all or any defective part of the equipment supplied for a period of twelve (12) months from the date of initial installation.
6.2) Manufacturers return to base warranty terms do not include: travel, de-installation, return freight, return travel, re-installation, re-programming and commissioning and these are specifically excluded from warranty cover.
6.3) No liability for consequential damages in the use of the equipment supplied shall be admitted.
6.4) Faults or failure caused by Acts of God, electrical derangement, maltreatment or interference with the installed equipment are specifically excluded from warranty cover.
Inclusions
1. All work shall be carried out during normal business hours Monday – Friday 6.00am to 5.00pm
2. All necessary JSA / Work Method Statements / RA’s etc. will be provided.
3. Prime Systems comply with the National Code of Practice.
Exclusions
Unless specifically identified in our quotation as being provided by us, the following items are specifically excluded and are to be provided BY OTHERS:
1. ALL 240V work or works requiring a licensed electrician.
2. Double 240V GPOs as required, for all powered equipment in our quotation.
3. Communication cabling – copper cable, optical fibre cable, terminations, patch panels, fibre termination enclosures, distribution frames (IDFs/MDFs), testing to Australian Standards and manufacturers’ certification requirements.
4. Supply and installation of all electric locking devices and their associated hardware.
5. All UPS requirements and UPS monitoring interfaces.
6. Elevated Work Platforms.
7. Cable Trays and supports, conduits, cable pits, conduits and draw wires.
8. Soil testing, excavations, trenching and backfilling.
9. Penetrations in slabs and walls and making good, fire sealing and certification.
10. Patching and making good of surfaces.
